Da Offset LLC – Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "Customer") and Da Offset LLC, a Florida limited liability company located in Miami, Florida ("Da Offset," "we," "us," or "our"), and govern your access to and use of www.daoffset.com (the "Site"), our products, our services, and any related content. By browsing the Site, creating an account, or placing an order, you agree to these Terms. If you do not agree, do not use the Site or purchase from us.

Read Sections 18 and 19 carefully. They contain a binding arbitration agreement, a class action waiver, and a limitation of liability that affect your legal rights.

1. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) and capable of entering into a legally binding contract to use the Site or place an order. By placing an order, you represent that you meet this requirement and that the billing and shipping information you provide is accurate.

We sell only within the United States unless otherwise stated on a product page. Orders to addresses outside the United States may be canceled at our discretion.

2. Accounts

You may browse most of the Site without an account, but certain features require registration. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly at info@daoffset.com if you suspect unauthorized access. We are not liable for losses caused by unauthorized account use that you failed to report.

We may suspend or terminate any account at our discretion, including for chargeback abuse, fraudulent orders, harassment of staff, or violation of these Terms.

3. Orders, Pricing, and Order Acceptance

Placing an order through the Site is an offer to buy. No order is accepted, and no contract is formed, until we ship the product or send you a confirmation that the order has shipped. A payment authorization, order number, or email acknowledging receipt of an order does not constitute acceptance.

Prices, promotions, and availability are subject to change without notice. We reserve the right to:

Refuse or cancel any order for any reason, including suspected fraud, pricing or inventory errors, or fitment concerns;
Limit quantities, including limiting orders placed by or shipped to the same address, billing account, or household;
Correct errors on the Site, including inaccurate prices, descriptions, specifications, or images, even after an order has been submitted.
If we cancel an order after charging your payment method, we will refund the amount charged. We are not liable for any other losses resulting from order cancellation.

All prices are listed in U.S. dollars and exclude applicable taxes, shipping, mounting, or installation fees unless explicitly stated.

4. Payment

We accept the payment methods displayed at checkout. By submitting payment information, you represent that you are authorized to use the payment method and authorize us (or our payment processor) to charge the full order amount, including taxes and shipping. If your payment is declined, reversed, or charged back without a legitimate reason, we may cancel the order, suspend your account, and pursue collection.

We do not store full payment card numbers on our servers. Card processing is handled by Shopify Payments and third-party processors subject to their own terms and security standards.

5. Shipping, Freight, and Delivery

Shipping, processing times, freight delivery procedures, address accuracy, refused or undeliverable shipments, lost shipments, and the freight inspection process are governed by our Shipping Policy, which is incorporated into these Terms by reference. The full Shipping Policy is the authoritative document and controls in any conflict with the summary below.

Most wheel and tire orders ship via LTL freight or parcel carrier. Estimated delivery dates are estimates only and are not guaranteed. Title and risk of loss pass to you when the carrier takes possession of the product.

Manufacturer build times. Built-to-order, made-to-order, custom-finish, and forged wheels (including American Force forged wheels) have lead times set by the manufacturer, not by Da Offset. Build times can change after the order is placed because of manufacturer backlog, finish availability, or production scheduling. We are not responsible for delays in manufacturer build times, and these delays are not grounds for cancellation once production has begun (see our Returns Policy for cancellation rules on special-order wheels).

Carrier delays. Once an order is handed to the carrier, transit time is controlled by the carrier. We are not responsible for delays caused by the carrier, weather, customs (where applicable), labor disruptions, or other circumstances outside our control. Issues that arise after the carrier takes possession should be addressed with the carrier first; we will help where we can.

Inspection at delivery is required. When the freight arrives:

Inspect every box, pallet, and tire for visible damage before signing the delivery receipt.
If any damage is visible, note it in writing on the delivery receipt and photograph the damage.
Refuse delivery only if damage is severe; otherwise, accept the shipment with damage noted.
Contact us within 48 hours of delivery at info@daoffset.com with photos and a copy of the noted delivery receipt.
If you sign for a shipment as "clear" or "no damage" without inspecting, the carrier and Da Offset may deny any subsequent freight damage claim, and we will not be responsible for damage discovered after acceptance.

Customers are responsible for providing accurate shipping addresses, ensuring someone is available to receive freight deliveries, and any redelivery, re-consignment, or storage fees caused by inaccurate addresses, refused shipments without cause, or missed delivery appointments.

We do not ship to freight forwarders. Orders shipped to forwarders are at your sole risk and are not eligible for damage claims, returns, or refunds once they leave the forwarder's possession.

6. Promotional Discounts — Wheel & Tire Package and Other Promotions

From time to time, Da Offset offers promotional discounts, including but not limited to the Wheel & Tire Package discount, which provides a percentage discount on tires when purchased together with at least one wheel in the same order. By placing an order that includes a promotional discount, you agree to the following terms, which apply in addition to the published terms of the specific promotion.

Eligibility. Promotional discounts apply only to products and quantities that meet the published terms of the promotion. The current Wheel & Tire Package promotion provides 10% off tires when purchased with at least one wheel, applies to up to 7 tires per order, and is limited to one wheel and tire package discount per order. We reserve the right to determine in our sole discretion whether an order qualifies for any promotion. Eligible products. The Wheel & Tire Package discount applies only to products in our Wheels and Tires collections. It does not apply to wheel and tire accessories, lug nuts, lug bolts, wheel spacers, wheel adapters, TPMS sensors, valve stems, center caps, hub-centric rings, mounting and balancing services, shipping, or any other product or service not specifically included in the promotion.

Stacking and combination. Unless explicitly stated, promotional discounts cannot be combined with other promotions, discount codes, sale pricing, or wholesale pricing. Where multiple discounts could theoretically apply, only the single highest-value discount will be applied.

Returns and partial cancellations. If you return, cancel, or refuse the qualifying product or products from a promotional package — for example, returning the wheel portion of a Wheel & Tire Package order — the associated promotional discount is automatically forfeit. The dollar value of the forfeited discount will be deducted from any refund issued. Partial returns of a discounted package may result in recalculation of the remaining items at full retail pricing. This provision works in conjunction with the Returns Policy referenced in Section 7.

Order review and abuse. We reserve the right, at our sole discretion, to cancel, modify, or refuse any order that we believe abuses, manipulates, or exploits a promotion. This includes but is not limited to: orders placed primarily to obtain a promotional discount without genuine intent to retain the qualifying products; fraudulent or repeated returns intended to retain discounted items; attempts to bypass per-order quantity limits; and patterns of exploitation across multiple orders, accounts, or shipping addresses.

Changes to promotions. Promotional discounts and their terms are subject to change, modification, suspension, or cancellation at any time without prior notice. The terms applicable to your order are those in effect at the time the order is placed.

No cash value. Promotional discounts are not transferable, have no cash value, and cannot be redeemed for cash, store credit, or any other form of consideration.

Per-tire pricing. Where per-tire pricing applies to a product, the promotional discount is calculated on the per-tire price.

By placing an order with a promotional discount applied, you acknowledge that you have read, understood, and agreed to the terms of this Section 6 and the specific promotion terms referenced above.

7. Returns, Exchanges, and Refunds

Returns, exchanges, refunds, RMA procedures, restocking fees, manufacturer warranty handling, and order cancellations are governed by our Returns Policy, which is incorporated into these Terms by reference. The full Returns Policy is the authoritative document and controls in any conflict with the summary below. Returns of items purchased with a promotional discount are also subject to Section 6.

Key points:

Return requests must be submitted within 30 days of delivery, and the product must be received back within 14 days of the date the RMA is issued.
All returns require a Return Merchandise Authorization (RMA) number issued by Da Offset before being shipped back. Returns sent without an RMA will be refused at the customer's expense or assessed an additional handling fee.
A 20% restocking fee applies to eligible returns (up to 25% for items returned in less-than-fully-resaleable condition). The fee does not apply when we shipped the wrong item, when the return is for verified freight damage filed under Section 5, or for a verified manufacturer defect.
Return shipping and risk of loss in transit are the customer's responsibility, unless the return is the result of our error.
Refunds are issued to the original payment method within 5 to 10 business days after the return is received and inspected.
Where a promotional discount applied to the order, the discount is recalculated or forfeit as provided in Section 6, and the affected amount will be reflected in the refund.
Items that are final sale and cannot be returned include:

Tires that have been mounted, road-tested, or otherwise installed
Wheels that have been mounted, installed, scratched, scuffed, road-tested, or modified (including drilling, machining, or refinishing)
Special-order, made-to-order, or custom-finish wheels (including American Force forged wheels)
Closeout, clearance, or "as-is" items
Lug nuts, lug bolts, wheel spacers, wheel adapters, TPMS sensors, valve stems, center caps, and hub-centric rings once installed or used
Products damaged by improper installation, misuse, racing or competition use, off-road use beyond the manufacturer's intended scope, or normal wear
The full list of non-returnable items, the freight damage protocol, and the warranty claim process are set out in the Returns Policy. If you receive a wrong, defective, or freight-damaged product and have followed Section 5 above, contact us within 48 hours of delivery and we will work with you on a replacement or refund.

8. Wheel and Tire Fitment Disclaimer

Customer is solely responsible for confirming that any wheel or tire purchased fits the intended vehicle.

Vehicle fitment depends on multiple factors, including but not limited to: bolt pattern, hub bore, offset, backspacing, brake caliper clearance, fender clearance, tire diameter and width, lift or lowering kits, suspension components, body modifications, and trim level. The same year, make, and model of vehicle can have different stock specifications, and aftermarket modifications further change fitment requirements.

Fitment guides, vehicle search filters, "fits this vehicle" indicators, customer service recommendations, social media replies, and marketing imagery on the Site are provided as general guidance only and are not guarantees of fit. We rely on data provided by manufacturers and third-party fitment databases, which can contain errors or omissions.

Before installation, you (or your installer) must visually verify the wheel against the vehicle, confirm specifications, and test-fit the wheel without fully torquing the lug hardware. Da Offset is not responsible for clearance issues, rubbing, scrubbing, speedometer error, ABS or TPMS interference, drivetrain stress, or other consequences of incorrect fitment. Once a wheel is mounted with a tire or installed on a vehicle, it is no longer returnable (see Section 7).

If you are unsure about fit, contact us before placing the order. We are happy to help, but final fitment confirmation rests with you and your installer.

9. Installation, Use, and Safety

Wheels and tires are safety-critical components. By purchasing from Da Offset, you agree that:

Installation will be performed by a qualified, licensed installer using appropriate equipment;
Lug nuts or bolts will be torqued to the vehicle manufacturer's specification using a calibrated torque wrench, and re-torqued after the first 50 to 100 miles of driving;
Tire pressure, load rating, and speed rating will be matched to the vehicle's requirements;
TPMS sensors and any related electronics will be installed and programmed properly;
Wheels and tires will be inspected regularly for damage, wear, and proper torque;
Products will not be used for any application beyond the manufacturer's intended scope, including but not limited to racing, competition, off-road use beyond the product's rating, or vehicles that have been modified in ways that change load, suspension geometry, or braking behavior.
Da Offset is not responsible for damage, injury, accident, or loss caused by improper installation, failure to re-torque, use beyond the product's intended scope, or modifications made after purchase.

10. Product Information, Images, and Specifications

We work hard to present accurate product information, but we cannot guarantee that every description, specification, image, finish, weight, load rating, or measurement on the Site is complete, current, or error-free. Manufacturers occasionally change specifications without notice. Finishes such as machined faces, chrome, gloss black, satin black, milled accents, and powder coats can vary slightly between production runs and may not match images on the Site exactly. Differences in monitor color rendering will also affect how a finish appears on screen.

If a product you receive materially differs from what was described, contact us under Section 7.

11. California Proposition 65

Some products sold by Da Offset can expose you to chemicals known to the State of California to cause cancer, birth defects, or other reproductive harm. For more information, see https://www.p65warnings.ca.gov.

Where required, this warning is also displayed on individual product pages or on packaging.

12. Manufacturer Warranties; Disclaimer of Implied Warranties

Da Offset is a reseller, not a manufacturer. Wheels and tires sold through the Site may carry a limited warranty from the manufacturer. Any warranty service is provided by the manufacturer under its own terms, and we will, where reasonable, help facilitate communication between you and the manufacturer. For details on coverage, exclusions, and the claim procedure, see our Wheel Manufacturer Warranty and Tire Manufacturer Warranty pages.

EXCEPT FOR ANY MANUFACTURER WARRANTY THAT IS PASSED THROUGH BY ITS TERMS, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, DA OFFSET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. Some jurisdictions do not allow the exclusion of certain implied warranties, so portions of this section may not apply to you.

13. Site Content and Intellectual Property

The Site, including its design, text, graphics, photographs, videos, logos, product imagery, fitment data, and software, is owned by Da Offset or its licensors and is protected by U.S. and international intellectual property laws. Trademarks, brand names, and logos belonging to wheel and tire manufacturers (including but not limited to Wheel Pros, American Force, Fuel, KMC, TUFF, Nitto, Toyo, Michelin, Mickey Thompson, and others) are the property of their respective owners and are used on the Site to describe the products we sell.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes. You may not:

Copy, reproduce, modify, distribute, scrape, or republish any portion of the Site without our prior written consent;
Use any data mining, robots, spiders, or similar automated tools on the Site;
Use our content for training machine-learning models or generative AI systems;
Use our brand, logos, or product imagery to promote competing businesses or to imply endorsement.
Unauthorized use may result in account termination and legal action.

14. User Content and Reviews

If you submit reviews, photos, comments, ratings, or other content to the Site or to our social media channels in connection with a purchase, you grant Da Offset a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, sublicensable license to use, reproduce, display, distribute, and create derivative works of that content for any lawful business purpose, including marketing. You represent that the content is yours, that you have the right to grant this license, and that the content is accurate and not unlawful, defamatory, or infringing.

We may, but are not obligated to, monitor, edit, or remove user content at our discretion.

15. Prohibited Conduct

You agree not to:

Use the Site for any unlawful purpose or in violation of any applicable law;
Place orders with the intent to charge back, defraud, or resell in violation of any applicable agreement;
Submit false, misleading, or stolen payment, identity, or shipping information;
Interfere with or disrupt the Site, servers, or networks, or attempt to gain unauthorized access;
Harass, threaten, or abuse our staff;
Use the Site to scrape pricing, inventory, fitment, or product data for any commercial purpose;
Abuse, manipulate, or exploit any promotional discount, including the Wheel & Tire Package discount, in violation of Section 6.
We may pursue any available legal or equitable remedy for violations, including suspension, account termination, and recovery of fees and damages.

16. Third-Party Links and Services

The Site may include links to third-party websites, embedded content, or integrations (including manufacturer sites, financing partners, shipping carriers, review platforms, and social media). We do not control these third parties and are not responsible for their content, products, services, privacy practices, or terms. Your use of any third-party site or service is at your own risk and subject to that party's terms.

17. Privacy and Electronic Communications

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains what personal information we collect, how we use and share it, the rights you have over it (including state-specific rights for California, Virginia, Colorado, Connecticut, Utah, Texas, Oregon, and Montana residents, and rights for EEA, UK, and Swiss residents), and how to exercise those rights.

By creating an account, placing an order, opting in to SMS, or subscribing to email, you consent to receive electronic communications from us, including transactional notices, account messages, marketing (where you have opted in), and required legal notices. You may opt out of marketing communications using the unsubscribe link in any marketing email or by replying STOP to any marketing SMS, but transactional and legal communications will continue while your account is active.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DA OFFSET, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, USE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, ANY PRODUCT OR SERVICE, OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF DA OFFSET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

DA OFFSET'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO ANY PRODUCT, SERVICE, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DA OFFSET FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE EVENT, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you. Where the law does not permit the disclaimers and limitations above, our liability will be limited to the maximum extent permitted by that law.

19. Dispute Resolution; Binding Arbitration; Class Action Waiver

Read this section carefully. It limits the ways you can seek relief from us.

Informal resolution. Before filing a formal claim, you agree to first contact us at info@daoffset.com with a written description of the dispute and the relief sought, and to give us 60 days to resolve it.

Binding arbitration. Any dispute, claim, or controversy arising out of or related to these Terms, the Site, or any product or service that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in Miami-Dade County, Florida, or by video conference at the customer's option, and judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. Disputes will be brought only in an individual capacity. You waive any right to participate in a class action, collective action, mass arbitration, or representative proceeding against Da Offset. An arbitrator may not consolidate more than one person's claims or preside over any form of class proceeding.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive or other equitable relief in court to protect intellectual property rights or confidential information.

Opt-out. You may opt out of the arbitration agreement and class action waiver by sending written notice to info@daoffset.com within 30 days of first accepting these Terms. The notice must include your name, address, account email, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms.

20. Governing Law and Venue

These Terms and any dispute arising out of them are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to Section 19, any action permitted to be brought in court must be filed in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction and venue of those courts.

21. Indemnification

You agree to indemnify, defend, and hold harmless Da Offset, its owners, officers, employees, agents, and affiliates from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or any product or service; (b) your violation of these Terms; (c) your violation of any law or third-party right; (d) installation, use, or modification of any product after delivery; or (e) any content you submit.

22. Modifications to These Terms

We may update these Terms from time to time. When we do, we will post the updated version on the Site and revise the "Last Updated" date above. Material changes will be communicated by email, on-Site notice, or another reasonable method. Your continued use of the Site after the effective date of the change means you accept the updated Terms. If you do not accept the updated Terms, stop using the Site.

23. Termination

We may suspend or terminate your access to the Site or your account at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination (including Sections 6, 7, 8, 9, 12, 13, 15, 18, 19, 20, 21, and 24) will survive.

24. Accessibility

Da Offset is committed to digital accessibility. Our Accessibility Statement describes the standards we follow, the accommodations we provide, and how to request assistance or report a barrier. If you have difficulty using the Site, contact us at info@daoffset.com and we will work with you to provide the information or transaction by an alternate method.

25. DMCA Notice

If you believe content on the Site infringes your copyright, send a written notice to our designated agent that includes:

Your physical or electronic signature;
Identification of the copyrighted work claimed to be infringed;
Identification of the material claimed to be infringing and its location on the Site;
Your contact information;
A statement that you have a good-faith belief the use is not authorized;
A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the rights holder.

26. Force Majeure

We are not liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including acts of God, weather, natural disasters, fire, war, terrorism, civil unrest, labor disputes, supplier or carrier failures, port closures, freight delays, government action, public-health emergencies, pandemics, or interruptions in utilities, internet, or third-party services.

27. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, Returns Policy, and any other policies referenced on the Site (including the Wheel & Tire Package Terms), are the entire agreement between you and Da Offset regarding the subject matter and replace any prior agreements.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be modified only to the extent necessary to make it enforceable.

No Waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.

Headings. Section headings are for convenience only and have no legal effect.

Notices to Da Offset. Send notices required under these Terms to info@daoffset.com or to Da Offset LLC at the address listed on the Site.
